Terms of Service

1. Acceptance of Terms

By accessing or using the Beedy platform ("Service"), including any software products, websites, and APIs operated by Beedy ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Beedy provides AI-powered software solutions for industrial operations, including but not limited to:

  • FIFO Scheduler AI — workforce scheduling for fly-in/fly-out operations
  • Plant Estimator — P&ID analysis and equipment estimation
  • Beedy Local AI Platform — on-premise AI deployment
  • Custom software development services

Products are delivered as cloud-hosted or on-premise software, depending on the product and license tier.

3. Accounts and Registration

To access licensed products, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

You must be at least 18 years old to create an account.

4. Subscriptions and Billing

Pricing: Product subscriptions are billed monthly through Stripe. Current pricing is listed on our Pricing page.

Billing: By subscribing, you authorize recurring monthly charges to your payment method.

Free Trial: New subscriptions include a 14-day free trial. No payment is required during the trial. If you do not cancel before the trial ends, your subscription will begin and you will be charged.

Upgrades/Downgrades: You may change your license tier at any time. Changes take effect at the start of your next billing cycle.

Cancellation: You may cancel at any time from your dashboard. Access continues until the end of the current billing period. No refunds are issued for partial billing periods.

5. Sub-User Accounts

License administrators may create sub-user accounts within the limits of their tier. Administrators are responsible for:

  • Managing sub-user access and permissions
  • Ensuring sub-users comply with these Terms
  • All activity performed by their sub-users

6. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share, resell, or sublicense your account access
  • Use the Service for unlawful purposes
  • Attempt to gain unauthorized access to other accounts or systems
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code or content

7. Intellectual Property

All software, content, designs, and trademarks of the Service are owned by Beedy. Your subscription grants you a limited, non-exclusive, non-transferable license to use the products during your active subscription period.

You retain ownership of any data you input into the Service.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEDY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Beedy, its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your access to the Service will cease immediately. You may export your data before cancellation.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada. Any disputes shall be resolved in the courts located in Quebec, Canada.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
